SignalCloud Terms and Conditions
Effective date: 11/06/2026 Version 1.5 - supersedes all previous versions
These Terms and Conditions ("Terms") are a legal agreement between you and TII Australia Pty Ltd (ABN 46 647 509 582) ("TII", "we", "us", "our") governing your access to and use of the SignalCloud platform (“the Service”). Please read them carefully before accepting.
1. Acceptance of these Terms
By creating an Account, clicking "Accept", or accessing or using SignalCloud, you agree to be bound by these Terms. If you are accepting on behalf of a company, council, or other organisation, you confirm you have authority to bind that organisation, and "you" refers to that organisation. If you do not agree to these Terms, you must not use the Service.
These Terms replace any earlier SignalCloud terms and conditions in their entirety from the Effective Date.
2. Definitions
SignalCloud (or the Service) means the cloud platform operated by TII at signalcloud.com and through the SignalCloud mobile applications, including remote keypad streaming, program management, notifications, reporting, and all related features, content and functionality.
Controller means a Signal-branded irrigation control system (including the SDS series) capable of connecting to SignalCloud.
Site means a single Controller (or group of Controllers) registered to your Account.
Account means the user profile created to access the Service.
Authorised User means an individual permitted by the Account holder to access the Service under that Account.
3. The Service
SignalCloud provides cloud connectivity for Controllers, enabling features including remote keypad access, program changes, alerts and notifications, and reporting. The Service requires a compatible Controller and an active internet connection at the Site.
4. Accounts
4.1 You must provide accurate, current and complete information when creating an Account and keep it up to date.
4.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account. You must notify us immediately of any unauthorised use.
4.3 You must be at least 18 years of age, or acting with the authority of an organisation, to hold an Account.
4.4 You may permit Authorised Users (such as employees or contractors) to access the Service under your Account. You are responsible for the acts and omissions of your Authorised Users as if they were your own and must ensure they comply with these Terms.
5. Acceptable Use and Fair Use
5.1 You must use the Service only for lawful purposes and in accordance with these Terms. You must not: interfere with or disrupt the Service or its infrastructure; attempt to gain unauthorised access to any system, Account, or Controller; resell or provide the Service to third parties except as agreed with TII in writing; or use the Service in a way that could damage TII's reputation or breach any law. TII reserves the right to suspend or terminate the user’s access to the Service for violations of this clause 5 or any applicable laws.
6. Service Availability
6.1 We aim to provide a reliable Service but do not guarantee that the Service will be continuous, uninterrupted, or error-free. The Service depends on factors outside our control, including but not limited to your internet connection, mobile networks, and third-party hosting providers.
6.2 We may perform scheduled maintenance and will use reasonable efforts to give advance notice of maintenance likely to materially affect the Service.
6.3 The Service must not be relied upon as the sole means of controlling irrigation or other equipment where failure could cause damage, loss, or safety risk. You are responsible for appropriate local configuration, fail-safes, and monitoring of your Sites.
7. Third-Party Services and Mobile Applications
7.1 The Service relies on third-party services, including but not limited to weather APIs, cloud hosting, telecommunications networks, email and push notification delivery services. TII is not responsible for failures, delays, or outages of third-party services beyond its reasonable control, the availability, accuracy or performance of third-party services, or any loss or damage arising from your use of third party services. Use of any third-party services is governed by that third-party’s terms and conditions and it is your responsibility to review and agree to them separately.
7.2 The SignalCloud mobile applications are distributed through the Apple App Store and Google Play. Your use of those stores is subject to their respective terms. Apple Inc. and Google LLC are not parties to these Terms, have no obligation to provide support or maintenance for the Service, and are not responsible for addressing any claims relating to the Service.
8. Preview Features
From time to time we may make new features available on a trial or preview basis, identified as such. Beta features are provided for evaluation, may be modified or withdrawn at any time without notice, and are excluded from any availability commitments. Clauses 11 and 12 apply to beta features to the maximum extent permitted by law.
9. Data and Data Sovereignty
9.1 SignalCloud stores customer data on servers located within Australia. We are committed to complying with applicable Australian privacy and data protection laws, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
9.2 By using the Service, you acknowledge that:
- Your data will be stored and processed within Australian jurisdictions.
- Signal may engage trusted service providers to host or back up data, provided such arrangements also comply with Australian legal standards.
9.3 We will not transfer your data outside of Australia without your express consent, except as required by law.
9.4 You retain ownership of the data you input into the Service and the operational data generated by your Controllers ("Customer Data").
9.5 You grant TII a licence to host, copy, process, and analyse Customer Data to provide and improve the Service, to provide support, and to produce aggregated or de-identified data and insights which TII may use for any purpose.
9.6 We will handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
9.7 You may export your Customer Data in a commonly used format at any time during your use of the Service, and for 30 days after cancellation or suspension, by request to TII. After that period we may delete or de-identify Customer Data in accordance with our data retention practices, except where retention is required by law.
10. Intellectual Property
10.1 All intellectual property in the Service, the SignalCloud and Signal names and logos, the Controller firmware, and all related software, content and materials is owned by TII or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service while your Account remains active. You must not copy, modify, reverse engineer, or create derivative works of the Service or firmware except as permitted by law.
10.2 If you provide suggestions or feedback about the Service, you grant TII a perpetual, royalty-free licence to use that feedback for any purpose, without obligation to you.
11. Australian Consumer Law
11.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law ("ACL"). Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the ACL or any other applicable law that cannot lawfully be excluded.
11.2 Where the ACL permits us to limit our liability for failure to comply with a consumer guarantee, our liability is limited, at our option, to (a) the resupply of the services, or (b) payment of the cost of having the services supplied again.
12. Disclaimers and Limitation of Liability
12.1 Subject to clause 11, the Service is provided on an "as is" and "as available" basis. TII does not warrant that the Service will be uninterrupted or error free, nor does it make any guarantees as to the accuracy or reliability of any information provided. All conditions, warranties, and guarantees not set out in these Terms are excluded to the maximum extent permitted by law.
12.2 Subject to clause 11, and to the maximum extent permitted by law: (a) TII is not liable for any indirect, incidental, or consequential loss, loss of profits, loss of data, or loss arising from interruption to the Service, water or irrigation outcomes, crop or turf damage, or equipment damage, however arising; and (b) TII's total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the fees paid by you for the affected Sites in that period.
12.3 Each party's liability is reduced to the extent the loss was caused or contributed to by the other party.
13. Force Majeure
Neither party is liable for any delay or failure to perform its obligations to the extent caused by events beyond its reasonable control, including but not limited to natural disasters, fire, flood, telecommunications or power failures, hosting provider outages, strikes, pandemics, or government action. The affected party must take reasonable steps to mitigate the effect of the event.
14. Suspension and Termination by TII
14.1 We may suspend or terminate your access to the Service (in whole or for affected Sites) if: (a) you materially breach these Terms and fail to remedy the breach within 14 days of written notice; (b) we reasonably believe your use poses a security risk to the Service or other users; or (c) we are required to do so by law.
14.2 We may discontinue the Service entirely on at least 90 days' written notice.
15. Access
Access to SignalCloud on a free basis is provided at TII's discretion and does not create any entitlement, expectation, or right to ongoing free access, unless TII has expressly agreed in writing to provide free access over a specified period. TII reserves the right to charge for the Service, or any part of it, at any time.
16. Changes to these Terms
16.1 We may update these Terms from time to time. For material changes, we will give at least 30 days' notice by email and/or within the Service, and may require you to accept the updated Terms to continue using the Service.
16.2 If you do not agree to the updated Terms, you may cancel your Account before they take effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
17. Dispute Resolution
17.1 If a dispute arises in connection with these Terms or the Service, a party must first give the other written notice describing the dispute. Senior representatives of each party must then attempt in good faith to resolve the dispute within 21 days of the notice.
17.2 If the dispute is not resolved within that period, either party may pursue any remedy available at law. Nothing in this clause prevents a party from seeking urgent injunctive relief or limits any right you have to make a complaint to a consumer protection regulator.
18. Notices
Notices to you may be given by email to your Account email address, by notification within the Service, or by post to your billing address, and are taken to be received 24 hours after sending (email/in-app) or 5 business days after posting. Notices to TII must be sent to [signalcloud@tii.com.au] or 16 Mumford Place, Balcatta WA 6021, Australia.
19. General
19.1 These Terms, together with the Privacy Policy, constitute the entire agreement between you and TII regarding the Service.
19.2 If any provision of these Terms is found to be unenforceable, it will be severed and the remaining provisions will continue in force.
19.3 You may not assign your rights under these Terms without our written consent. We may assign our rights to a related body corporate or in connection with a sale of the business, on notice to you.
19.4 A failure to enforce a right is not a waiver of that right.
19.5 Nothing in these Terms limits the operation of any agreement between TII (or its dealers or contractors) and you for the supply of Controllers or other hardware, which remains separate from these Terms.
20. Governing Law
These Terms are governed by the laws of Western Australia, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
